These Terms of Service ("Terms") govern your access to and use of PositionSEO (https://positionseo.com), an SEO rank tracking and reporting platform (the "Service") operated by us. By creating an account, signing in, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle your information, including Google user data.

1. Description of the Service

PositionSEO provides tools for SEO professionals and marketing teams to track keyword rankings, monitor visibility trends, manage client projects, connect Google Search Console accounts, and generate SEO performance reports. Features may change over time as we improve or update the platform.

2. Eligibility and Accounts

You must be at least 16 years old and capable of entering into a binding agreement to use the Service.
You are responsible for providing accurate account information and keeping your login credentials secure.
You are responsible for all activity that occurs under your account.
You must notify us promptly at contact@sytech-web.cn if you suspect unauthorized access to your account.

3. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of applicable laws or regulations.
Attempt to gain unauthorized access to the Service, other accounts, or related systems.
Interfere with or disrupt the integrity, security, or performance of the Service.
Reverse engineer, scrape, or misuse the Service except as permitted by law.
Use the Service to store or transmit malicious code, spam, or infringing content.
Misrepresent your identity or affiliation when using the Service or connecting third-party accounts.
Use connected Google or third-party data for purposes outside those permitted by these Terms and applicable API policies.

4. Third-Party Integrations

The Service may allow you to connect Google Search Console through OAuth. Your use of Google services is subject to Google's own terms and policies. By connecting a third-party account, you authorize PositionSEO to access the data you approve through that connection solely to provide Service features. You may revoke such access at any time through your third-party account settings or within the Service where available.

We are not responsible for third-party services, their availability, or changes to their APIs or policies that may affect Service functionality.

5. Customer Data and Reports

You retain ownership of the project data, keywords, domains, and other content you submit to the Service.
You grant us a limited license to host, process, and display your content solely to operate and improve the Service.
You are responsible for ensuring you have the right to track, store, and report on the websites and data you manage in the Service.
Reports and metrics are provided for informational purposes and should not be the sole basis for business or legal decisions.

6. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by us or our licensors and is protected by intellectual property laws. Except for the limited right to use the Service as permitted by these Terms, no rights are granted to you. PositionSEO and related logos are our trademarks.

7. Service Availability and Changes

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes take effect constitutes acceptance of the revised Terms.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT RANKING DATA, REPORTS, OR THIRD-PARTY API DATA WILL BE ACCURATE, COMPLETE, OR CURRENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100) IF NO FEES WERE PAID.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, limitation of liability, and indemnification.

12. Governing Law

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles, except where mandatory local consumer protection laws apply. Any disputes arising from these Terms or the Service shall be subject to the jurisdiction of the courts located in Guangzhou, China, unless otherwise required by applicable law.
